Terms and Conditions

1. Parties to the Agreement

This agreement is entered into between CoreLab Creative ("CoreLab", "we", "us") and the Client ("you", "the User"), any natural or legal person who accesses or uses the CoreLab Platform. By registering or using the Platform, the Client agrees to be bound by these Terms. If acting on behalf of a company, you represent that you have legal authority to bind it.

2. Description of Service

CoreLab is a subscription platform that enables businesses and professionals to:

  • Submit and manage design service requests through a ticket system.
  • Collaborate in real time with CoreLab's design team.
  • Organize deliverables in projects.
  • Manage billing and subscriptions independently.
  • Invite team members with differentiated roles.

The specific services available depend on the subscribed plan.

3. Registration and Account

3.1 Eligibility

To register, the user must be at least 18 years of age (or acting on behalf of a legally incorporated entity), provide truthful and up-to-date information, and have authority to accept these Terms on behalf of their organization.

3.2 Account Information

The Client is responsible for the accuracy of the information provided, maintaining the confidentiality of their credentials, all activity that occurs under their account (including that of their team members), and immediately reporting any suspected unauthorized access.

3.3 Email Verification

Registration requires email verification. Full access to the Platform is only available after completing this verification.

3.4 Google Authentication

The Client may authenticate via their Google account, also accepting the applicable Google Terms of Service.

3.5 Two-Factor Authentication (MFA)

CoreLab offers TOTP-based two-factor authentication. Enabling it is optional but recommended. The Client is responsible for keeping their authentication devices secure.

3.6 Active Session Management

The Client can view the list of active sessions (with device and browser information) from their account security settings and remotely close individual sessions. Each sign-out action is recorded in the activity history.

4. Subscription Plans and Billing

4.1 Available Plans

CoreLab offers different plans with varying service levels:

  • Monthly recurring plans: Continuous access to design services during the active period.
  • Single-project plans: Payment in two stages (initial deposit + balance upon project completion).
  • Custom plans: Individually negotiated and accessible via private invitation sent by CoreLab.

4.2 Billing and Payment

Payments are processed through a certified external processor. CoreLab never stores complete payment card data. Recurring plans are charged at the start of each monthly period. For single-payment projects, the deposit is charged upon confirming the engagement and the balance when the project is marked as completed.

4.3 Free Trial

If CoreLab offers a trial period, it will be specified at the time of registration. Upon expiry, the contracted plan will automatically start and the corresponding charge will be made, unless cancelled beforehand.

4.4 Plan Changes

The Client may request a plan change from within the Platform.

Plan downgrade restriction: The system blocks downgrading to a lower plan while active requests exist (pending, in progress, or under review). The Client must wait until all active requests are resolved before downgrading.

Plan upgrade: Upgrades to a higher plan tier can be made at any time, even with active requests.

4.5 Failed Payments

If an invoice payment fails, the subscription may enter a past-due state. A grace period is granted to regularize the payment. If not regularized, CoreLab may suspend or cancel access.

4.6 Taxes

Published prices may or may not include applicable taxes. The Client is responsible for any taxes applicable in their jurisdiction.

5. Cancellation and Refunds

5.1 Client Cancellation

The Client may cancel their subscription at any time. Upon requesting cancellation, the subscription is marked to cancel at the end of the billed period. Full access is maintained during that remaining time.

5.2 Access After Cancellation

Read-only mode (reduced access): If active requests exist at cancellation, the Client retains read-only access until all are resolved. They may view their history but not create new requests or modify the account. CoreLab commits to completing active requests under the terms of the plan in effect at that time.

Grace period (3 days): When the last active request is closed, a 3-day grace period automatically begins during which the Client may review their information and export data, or reactivate their subscription.

Blocked access: Upon expiry of the grace period without renewal, access is blocked. Data is retained for an additional 90 days to enable reactivation.

5.3 Restrictions During Cancellation

From the moment cancellation takes effect, the Client cannot create new requests, projects, or team invitations, even during read-only mode with open tickets.

5.4 Cancellation by CoreLab

CoreLab may suspend or cancel access if payment is not regularized, the Client breaches these Terms, fraudulent activity is detected, or CoreLab decides to discontinue the service (with at least 30 days' notice).

5.5 Refund Policy

  • Recurring plans: No refunds are provided for already-billed periods, unless required by law.
  • Single-project deposit: Non-refundable once CoreLab has started work.
  • Billing errors: CoreLab will fully refund any charge made in error.

5.6 Data After Cancellation

Client data is retained for 90 days after access is blocked to enable reactivation. After that period, data is deleted or anonymized. The Client may request data export during the retention period at info@corelabcreative.com.

6. Team Management and Roles

6.1 Client Roles

  • Owner: Automatically created when registering the organization. Full access, including billing and team management. Only one per organization.
  • Admin: Can manage team members and workspace resources.
  • Member: Can create and view requests. No access to billing or team management.

6.2 Invitations

Invitations are sent by email, are single-use, and expire after 7 days. The member limit (including pending invitations) is determined by the contracted plan.

6.3 Responsibility for Team Members

The Owner is responsible for the actions of all members, for revoking access when appropriate, and for assigning roles appropriate to each person's responsibilities.

7. Acceptable Use Policy

Permitted and prohibited uses, and consequences of non-compliance, are detailed in the Acceptable Use Policy, which forms an integral part of this agreement.

8. Intellectual Property

8.1 CoreLab's Property

The Platform, its software, design, logos, trademarks, and content generated by CoreLab are the exclusive property of CoreLab Creative. Use of the Platform does not grant the Client any ownership rights over these assets.

8.2 License of Use

CoreLab grants the Client a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform in accordance with these Terms and the contracted plan.

8.3 Client Content

The Client retains all rights over the content they upload (briefings, files, specifications). By uploading it, they grant CoreLab a limited license to use it solely for the purpose of providing the contracted services.

8.4 Design Deliverables

Deliverables produced by CoreLab, once the corresponding payment is completed, are the property of the Client. CoreLab may include them in its portfolio unless the Client expressly instructs otherwise for confidentiality.

9. Confidentiality

CoreLab's obligations: Maintain the confidentiality of the content of Client requests and files; not disclose information to third parties except to the providers described in the Privacy Policy or as required by law; implement reasonable security measures.

Client's obligations: Not disclose confidential CoreLab information (unpublished prices, internal processes, etc.); use the Platform in a way that does not compromise the security of other Clients.

10. Service Availability

CoreLab makes reasonable efforts to keep the Platform continuously available, but does not guarantee uninterrupted availability. Interruptions may occur due to scheduled maintenance, security updates, or force majeure. CoreLab will provide reasonable advance notice of any maintenance affecting availability.

Unless specifically agreed in writing for Enterprise plans, CoreLab does not offer formal uptime guarantees. Interruptions do not automatically entitle the Client to compensation.

11. Limitation of Liability

11.1 Disclaimer of Warranties

The Platform is provided "as is" and "as available". CoreLab does not warrant that it will be free from errors or interruptions, that it will meet all Client expectations, or that it will be compatible with all systems or devices.

11.2 Liability Cap

To the maximum extent permitted by law, CoreLab's total liability to the Client will be limited to the amount paid in the 3 months prior to the event giving rise to the claim.

11.3 Exclusion of Indirect Damages

CoreLab will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption.

12. Indemnification

The Client agrees to indemnify CoreLab, its officers, employees, and providers against any claims, losses, damages, or expenses arising from: the Client's or their members' use of the Platform; breach of these Terms; infringement of third-party rights through uploaded content; or false representations made during registration.

13. Modifications to Service and Terms

CoreLab may modify Platform features or update these Terms. In the event of material changes, active Clients will be notified by email at least 14 days in advance. Continued use after the effective date implies acceptance. If the Client does not accept, they may cancel their subscription before that date without penalty.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws applicable in the jurisdiction where CoreLab Creative is incorporated, without prejudice to consumer rights recognized by local law.

14.2 Amicable Resolution

In the event of a dispute, the parties will first attempt an amicable resolution. The Client must notify their claim to info@corelabcreative.com. CoreLab will respond within 15 business days.

14.3 Jurisdiction

If no amicable agreement is reached, disputes will be submitted to the competent courts of the jurisdiction where CoreLab Creative is incorporated, unless local consumer law mandates a different jurisdiction.

14.4 Binding Arbitration (US users)

For users located in the United States, disputes not amicably resolved will be settled through binding individual arbitration (AAA or mutually agreed equivalent).

Class action waiver: The Client waives the right to participate in class proceedings. Each party may bring claims only on an individual basis.

Opt-out: The user may opt out of this clause by notifying in writing to info@corelabcreative.com within 30 days of first acceptance. This clause does not limit non-waivable consumer rights recognized by local law.

15. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and Data Processing Agreement, constitute the entire agreement between the parties.
  • Severability: If any provision is found invalid, the remaining provisions will continue in force.
  • No waiver: Failure to exercise a right does not constitute a waiver of that right.
  • Assignment: The Client may not assign their rights without CoreLab's prior written consent.
  • Force majeure: CoreLab will not be liable for failures caused by circumstances beyond its reasonable control.

16. Copyright Infringement Notices (DMCA)

CoreLab respects intellectual property rights and responds to valid notices under the DMCA (17 U.S.C. § 512) and equivalent regulations.

A valid notice must include: signature of the rights holder or representative, identification of the infringed work, identification of the infringing material and its location, contact details of the claimant, good faith statement, and declaration under penalty of perjury.

CoreLab may cancel accounts of repeat infringers. Submitting false notices may result in legal liability.

17. Non-Waivable Consumer Rights

Nothing in these Terms limits rights that local law recognizes as non-waivable, including those recognized by consumer protection legislation in the EU, United Kingdom, Mexico, Brazil, Argentina, Colombia, Chile, Peru, and the United States.
